These Terms of Service ("Terms") govern your use of the website located at https://www.dozer.ai ("Site") and any hardware, software, dashboards, and services (collectively, the "Services") provided by Dozer AI, Inc. ("Dozer," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.
1. Eligibility
You may use the Services only if you are legally capable of forming a binding contract and are not barred under applicable law from doing so. By using the Services on behalf of a company, you represent that you have the authority to bind that company.
2. Use of Services
Dozer provides a safety monitoring system installed on construction equipment, which includes AI-enabled video cameras, GPS tracking, and a cloud-based dashboard. You agree to:
- Use the Services only for lawful purposes
- Ensure compliance with all applicable laws and regulations (e.g., labor laws, surveillance notice requirements)
- Not attempt to reverse-engineer, decompile, or tamper with the Services
Enterprise customers are solely responsible for obtaining any necessary consent or providing appropriate notice to individuals (e.g., equipment operators) whose data may be collected by the Dozer system.
3. Account Registration
To access certain Services, you may be required to register an account. You agree to:
- Provide accurate, complete, and current information
- Maintain the confidentiality of your login credentials
- Notify us immediately of any unauthorized use of your account
You are responsible for all activities under your account.
4. Intellectual Property
All content and technology provided by Dozer, including software, documentation, graphics, video, and trademarks, are owned by or licensed to Dozer and are protected under applicable intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of the Services without our written permission.
5. Data & Privacy
Your use of the Services is subject to our Privacy Policy, which describes how we collect and use data, including video, GPS, and telemetry from construction equipment. You are responsible for ensuring your own compliance with privacy laws when using our Services.
6. Service Availability & Modifications
We strive to provide reliable Services but do not guarantee uninterrupted availability. We may suspend or modify features of the Services at any time for maintenance, upgrades, or other reasons. We will provide notice where practicable.
7. Fees and Payment
If your use of the Services is subject to a paid subscription or enterprise agreement, fees and billing terms will be governed by your separate contract with Dozer. You agree to pay all applicable fees on time and in accordance with the agreed terms.
8. Termination
We may suspend or terminate your access to the Services at our discretion, including for:
- Violations of these Terms
- Fraudulent or unlawful activity
- Nonpayment under a service agreement
You may also terminate your use of the Services at any time. Upon termination, your rights to access or use the Services will immediately cease.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." DOZER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DOZER DOES NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE OR THAT SAFETY EVENTS WILL ALWAYS BE IDENTIFIED OR ALERTED.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOZER SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING OUT OF OR RELATING TO THE SERVICES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF $100 OR THE AMOUNT YOU PAID TO DOZER FOR THE SERVICES IN THE SIX MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Dozer and its affiliates from and against any claims, liabilities, damages, and expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
12. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Any dispute shall be resolved in the state or federal courts located in Alameda County, California.
13. Updates to Terms
We may revise these Terms from time to time. When we do, we will update the "Effective Date" above. Your continued use of the Services after any update constitutes your acceptance of the revised Terms.
